Authorized Representatives

The following person or persons are duly authorized to buy and sell automobiles, to execute checks or drafts, to execute bills of sales, odometer mileage statements, assignments of titles and warranties of titles on behalf of the Dealer. The authority of the following persons to act on behalf of the Dealer shall continue in full force and effect until terminated by the Dealer in writing to the Auction. Dealer does hereby guarantee all transactions made by such persons, and does indemnify and hold harmless the Auction from all loss or expense caused as a result of any such transaction including losses from dishonored checks or drafts, defective titles, and false or inaccurate odometer mileage statements as well as any expense incurred attempting to collect any such losses, including attorney’s fees.

GUARANTY
In consideration of the Auction allowing Dealer to buy and sell motor vehicles through Auction, the undersigned, whether one or more, personally guarantee and warrant that the title to each vehicle sold by the Dealer through the Auction will be good and will be free and clear of all liens and encumbrances, whatsoever. The undersigned unconditionally agrees to reimburse the Auction for any loss, damage, expense, or cost, including attorney’s fees, incurred by the Auction as a result of breach of the foregoing warranty of title as to any such motor vehicle. 

The undersigned further guarantees full payment of any debts of the Dealer to Auction, including any checks or drafts issued by the Dealer or representatives , together with any loss or expense incurred by the Auction in collecting or attempting to collect such debt, including attorney’s fees.

The undersigned acknowledges that the Auction shall have the right to refuse to transact business with Dealer, to modify or release any and all collateral security, to extend or change time of payment and to seller or compromise with Dealer without notice to the undersigned and without discharging or affecting the liability of the undersigned hereunder. This guaranty is to be a continuing guaranty and the undersigned hereby waives notice of acceptance of this guaranty and presentment, demand protest and any notice of non-payment or dishonor. The undersigned shall be liable as principal debtor and not merely as surety, and the bankruptcy or any assignment in favor of creditors of Dealers shall not affect the enforceability of this agreement.

This instrument shall bind the respective heirs, executors, administrators, and assigns of the undersigned, and shall ensure to the benefit of the Auction and its successors. Where there is more than one signatory to this agreement each signatory shall be jointly and severally liable under this agreement.

We operate a wholesale automobile auction for licensed new and used car dealer. Since we guarantee all dealers’ checks for cars bought at our auction, we require that all dealers establish their financial responsibility. 

We would be grateful to you if you would indicate below your estimate of this account. Our relationship is on a commercial level and your reply will, of course, be held strictly confidential and will be used for our own purpose. If necessary please obtain permission of your customer. We must have this information on file before transacting business with the dealer.

Internet Sales Agreement 




By signing this agreement, I acknowledge that any actions taken and purchases made under my username and password are my responsibility. I hereby agree that my username and password will be used by no other persons, for any reason. If any other person has access to the password with consent or without the dealer will be responsible for their actions. I also agree to have only one username and password. All internet purchases made off-site must be paid for no later than the following Tuesday after the sale at noon via wire transfer or expedited check. For new customers a bank statement verifying funds must be faxed prior to sale time. Payments received after Tuesday will incur a $95 late fee per purchase. Existing check status customers doing business with the auction frequently must overnight a check for the full amount no later than the next business day, otherwise a $95 late fee applies for each purchase. There will be a $50 internet convenience fee charge per car purchased online. This convenience fee is addition to the regular sale fees. Details of the arbitration policy for internet sales shall be the same as for onsite customers. Floor bidder will have preference in the case of a tie bid or the auctioneer’s discretion as the bid is increasing on a car. Condition reports are provided as a convenience and in many cases, a product of one individual’s opinion. Auction will not be responsible for minor errors. Decision of the auction will be final in all disputes. Making transportation arrangements is the responsibility of the buyer.
